Conflict Minerals XLR8 Services, Inc. Conflict Minerals Policy
In response to violence and human rights violations associated with the illegal mining of certain minerals in the eastern portion of the Democratic Republic of the Congo (DRC) and surrounding countries, the U.S. Securities and Exchange Commission (SEC) has adopted rules regarding disclosure and reporting of these “conflict” minerals.
Section 1502 of the Dodd-Frank Wall Street Reform and Consumer Protection Act requires SEC-registered companies to report to the SEC the presence of “conflict” minerals originating in the DRC or adjoining countries in the products they manufacture or contract to manufacture if the conflict minerals are necessary to the functionality or production of a product. The refined metals from these minerals—tantalum, tin, tungsten, and gold (3TG)—are found in many electronic components and solders used in manufacturing electronic and electromechanical assemblies.
XLR8 Services, Inc., a privately held company, does not directly source 3TG from mines, smelters or refiners, and is in most cases, several or more levels removed from these market participants.
XLR8 Services, Inc. purchases almost all of our component materials through distribution services and component manufacturers have made it clear that their distributors are not authorized to provide this complex data to the end customer, as traditional component distribution activities are not within the scope of the bill’s definition of reporting requirements. Nevertheless, XLR8 Services, Inc. is committed to responsibly purchase all of the materials we use to manufacture the electronic and electromechanical products that we are contracted to manufacture.
XLR8 Services, Inc. expects all suppliers to assist us in complying with the Rule, by declaring any components, parts, and products that contain 3TG and further providing associated country of and other origin information.
XLR8 Services, Inc. will make every reasonable effort to replace any supply chain partner who does not supply us with products that are Conflict-Free and will seek to source our materials and components only from supply chain partners who will. XLR8 Services, Inc. will take all necessary steps to comply with the due diligence and disclosure obligations required by the Securities and Exchange Commission regulations.
